1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Josefa Tile ("Contractor," "we," "our," or "us"). By accessing our website, requesting a free estimate, signing a construction contract, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Scope of Services
Josefa Tile is a licensed general contractor providing remodeling, restoration, enhancement, reconstruction, and emergency repair services in South Florida. All work is governed by the specific terms set forth in the signed written contract for each project, including but not limited to:
- Detailed project scope, drawings, and specifications
- Agreed-upon materials, finishes, and brands
- Project timeline with start and substantial completion dates
- Payment schedule and deposit requirements
- Permit responsibilities and inspection coordination
- Change order procedures and pricing methodology
Any verbal representations not expressly incorporated into the written contract do not form part of the agreement.
3. Estimates and Proposals
Free estimates provided by Josefa Tile are based on information available at the time of inspection and are valid for thirty (30) days unless otherwise stated. Estimates are subject to change upon discovery of concealed conditions, code requirements, or material price fluctuations. A signed contract and deposit are required to lock in pricing and schedule work.
4. Deposits and Payment Terms
Payment terms are specified in each individual contract. Typically:
- Deposit: An initial deposit is required upon contract execution to secure materials, permits, and scheduling. The deposit amount will be clearly stated in the contract.
- Progress Payments: Additional payments may be due at specified milestones (e.g., rough-in completion, material delivery, pre-final walkthrough).
- Final Payment: The remaining balance is due upon substantial completion and final walkthrough approval by the Client.
Failure to make timely payments may result in work stoppage, lien filing, or termination of the contract. All payments are non-refundable except as required by Florida law.
5. Licensing, Insurance, and Permits
Josefa Tile maintains all licenses and insurance required to operate as a general contractor in the State of Florida. Proof of licensure and insurance certificates will be provided to the Client upon contract execution and receipt of the initial deposit. It is the Client's responsibility to ensure property access for inspections. Permits are typically obtained by the Contractor; however, permit fees may be billed to the Client as outlined in the contract.
6. Project Changes and Change Orders
Any modification to the agreed-upon scope of work — including material upgrades, design changes, or additional tasks — requires a written change order signed by both parties before work proceeds. Change orders may affect the project timeline and total cost. The Contractor reserves the right to refuse changes that compromise structural integrity, code compliance, or safety standards.
7. Warranties
We stand behind our work with the following warranty commitments:
- Workmanship Warranty: Josefa Tile warrants its labor against defects in workmanship for a period specified in the written contract, typically one (1) year from the date of substantial completion, subject to the terms therein.
- Material Warranties: Materials used in the project carry manufacturer warranties. The Contractor will pass through applicable manufacturer warranties to the Client. Claims under manufacturer warranties must be directed to the manufacturer.
- Exclusions: Warranties do not cover damage caused by normal wear and tear, Client negligence, abuse, unauthorized modifications, natural disasters, or failure to perform recommended maintenance.
8. Site Access and Client Responsibilities
The Client agrees to:
- Provide safe, unobstructed access to the work area during normal business hours
- Secure pets, children, and valuables away from active construction zones
- Maintain utilities (water, electricity) as needed for construction operations
- Promptly approve material selections, change orders, and inspection schedules
- Comply with all homeowners' association (HOA) rules and notify the Contractor of any community restrictions
9. Delays and Force Majeure
Project timelines are estimates based on normal working conditions. Josefa Tile is not liable for delays caused by circumstances beyond our reasonable control, including but not limited to: inclement weather, permit delays, material shortages, inspection backlogs, acts of God, pandemic-related restrictions, or Client-requested changes. In such events, the project timeline will be extended reasonably, and the Client will be notified promptly.
10. Termination
Either party may terminate the contract under the following conditions:
- By Client: The Client may terminate for convenience subject to the cancellation terms in the contract, which typically include payment for all work completed, materials ordered, and non-refundable deposits.
- By Contractor: We may terminate if the Client fails to make payments, repeatedly denies access, interferes with work, or breaches material terms of the contract. In such cases, the Client remains liable for all amounts due for work performed.
11. Limitation of Liability
To the maximum extent permitted by Florida law, Josefa Tile's total liability arising from any project shall not exceed the total contract price paid by the Client. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, property value loss, or temporary relocation costs, except where prohibited by statute.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt good-faith negotiation. If negotiation fails, disputes shall be resolved through mediation in the county where the project is located. If mediation is unsuccessful, either party may pursue binding arbitration or litigation in accordance with Florida law. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
13. Governing Law
These Terms and all contracts between Josefa Tile and the Client are governed by the laws of the State of Florida, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Palm Beach County, Florida.
14. Intellectual Property
All content on this website — including text, images, logos, and project photographs — is the property of Josefa Tile and is protected by copyright and trademark laws. Unauthorized use, reproduction, or distribution is prohibited. Project photographs may be used by the Contractor for marketing and portfolio purposes unless the Client provides written notice objecting prior to project commencement.
